1. Acknowledgment and acceptance of terms of service

 

By use of any of the by Culinary Cult Int. provided/posted services on its website www.lifentravel.com, its material, promotion, posted material/information de facto acceptance of these terms and conditions have been established. These terms may change periodically, so please check back from time to time. “date of last update” is stated at the bottom of this document. Should the changes in the terms of service affect its existing clients using one of the fee based services of Life ‘N Travel, Life ‘N Travel will inform these clients through e-mail. BY USING THIS SITE, YOU AGREE TO THE TERMS OF THIS USER AGREEMENT JUST AS IF YOU HAD SIGNED THIS USER AGREEMENT.

2. Service description of Culinary Cult Int.

Culinary Cult Int. will through its web site act as the link between different parties related directly or indirectly to the hospitality business on a global scale. Culinary Cult Int. will serve, by using today’s technology, an information tool consisting of material gathered through its own resources and provided by the industry again on a global scale.

3. Restrictions on Use

 

The culinarycult.com site is owned and operated by ECR Hospitality Services and is protected by international copyright laws. You may not modify, copy, reproduce, republish, upload, post, transmit or distribute in any way any material from this site including text, graphics, code and/or software. You may download material from this site for your personal, non-commercial use only, provided you keep intact all copyright and other proprietary notices.

4. Cost of services

 

All prices mentioned on Culinary Cult Int.'s websites, quotations and invoices are in Euro or DKR and exclusive CVR (VAT) unless mentioned otherwise. Culinary Cult Int. is in its full right to change and adjust the prices after its needs and flow of the market. Clients will be informed on any price changes by e-mail. Price changes will not effect running agreements

5. Delivering of material

 

The client is entirely responsible for providing Culinary Cult Int. with all necessary material, graphics and otherwise in the requested format and before the requested date, to ensure correct placement on the web site of Culinary Cult Int. Culinary Cult Int. cannot be held responsible in any way if forwarded material is incorrect, incomplete or delivered too late, and Culinary Cult Int. has then the right to terminate the agreement.

6. Payments and date of payments

 

All payments for fee-based-services of Culinary Cult Int. have to be made by payment to the account of ‘ECR Hospitality Services’. Transfers of the amount due have to be made within 8 days of submission to the service of Culinary Cult Int.if nothing else is stated. Further payment details, like account numbers and swift codes are stated on the invoices, which are sent via e-mail.

In case of overdue payment all costs made for the collection of the accounts are charged to the client. Culinary Cult Int. holds the right to delete links and/or vacancies till payment is received. Any transferring fees or cost for currency conversions are to be paid by the client of Culinary Cult Int..

7. License to Culinary Cult Int.

By posting messages, uploading files, inputting data, or engaging in any other form of communication through this service, you are granting Culinary Cult Int. and its affiliated entities a royalty-free, non-exclusive, unrestricted, worldwide license to:

Use, copy, sublicense, adapt, transmit, retransmit, distribute and/or publicly perform or display any such communication.

License to third parties the unrestricted right to exercise any of the foregoing rights granted with respect to the communication.

The foregoing grants shall include the right to exploit any proprietary rights in such communication, including but not limited to rights under copyright, trademark, patent laws or the law of ideas under any relevant jurisdiction.

8. Disclaimer

 

In the event Culinary Cult Int. or its affiliated entities have provided links and bullets to Internet sites maintained by third parties, unless expressively stated otherwise, no inference or assumption should be made and no representation may be implied that either Culinary Cult Int., or its subsidiary companies or their affiliates operate or control in any respect any information, products or services on these third-party sites.

The material in this site and the third-party sites are provided “as is” and without warranties of any kind either expressed or implied. To the fullest extent permissible pursuant to applicable law, Culinary Cult Int. disclaims all warranties, expressed or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. 9. Limitation of Liability

 

Under no circumstances, including, but not limited to, negligence, shall Culinary Cult Int., its subsidiary companies or affiliates be liable for any direct, indirect, incidental, or consequential damages (including but not limited damages suffered from electric power losses, computer soft/hardware crashes, viruses or other directly or indirectly internet related failures and problems, war, nature disasters, conflicts or currency losses) that result from the use of, or the inability to use Culinary Cult Int. materials. You specifically acknowledge and agree that Culinary Cult Int. is not liable for any defamatory, offensive or illegal conduct of any user.

Consequently Culinary Cult Int. can not be held responsible for missing or incorrect information/data in any part of its website in material directly or indirectly posted by any company or person or provided by the clients and visitors to Culinary Cult Int..

Besides its own products and services Culinary Cult Int. will when requested post information on third persons and products as well as will promote these third persons and the sales of their products as well will have links to the web sites of these third persons and their services; Culinary Cult Int. is not liable in any way for any direct, indirect, incidental, or consequential damages the purchasers of these products, users of this information or services may suffer.

If you are dissatisfied with any Culinary Cult Int. material, or with any of Culinary Cult Int.'s terms and conditions, your sole and exclusive remedy is to discontinue using the Site.

10. Termination

 

This agreement is effective until terminated by Culinary Cult Int., at any time without notice. The disclaimers and limitations of liabilities set forth in this agreement, shall survive.

Further Culinary Cult Int. is in its full right to turn down any client if in Culinary Cult Int. sole opinion this client/company is damaging directly or indirectly other promotions part of its website and believes that the client/company can damage the image or business of Culinary Cult Int.. Should the client of Culinary Cult Int. wish to cancel an agreement this must be done in writing.

11. Indemnification

 

You agree to defend, indemnify and hold harmless  Culinary Cult Int., affiliates, licensees and their respective directors, officers, employees and agents from and against all liabilities, claims, damages, and expenses, including attorneys’ fees, arising out of your use of the site, or your violation or alleged violation of the terms of this Agreement.

On this agreement the Danish (EU law) law is applicable and is governed by and constructed in accordance with the laws of Denmark without giving effect to any principles or conflicts of law. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed from this agreement and shall not affect the validity and enforceability of any remaining provisions. Disputes between parties will be submitted to a competent district court judge in Assens , Denmark for adjustment
